Representations and Certifications (commonly called Reps and Certs) are legally binding statements contractors make about their business, ownership, size status, compliance posture, and other characteristics required by the FAR. They are submitted as part of proposals and maintained in SAM.gov as standing certifications that apply to all awards.
What Reps and Certs Cover
FAR 52.212-3 is the primary commercial item Reps and Certs provision. It covers small business size certifications for the applicable NAICS code, socioeconomic certifications (8(a), HUBZone, SDVOSB, WOSB), debarment and suspension status, covered employee compensation disclosures, foreign ownership and affiliation, drug-free workplace certification, compliance with Buy American requirements, and numerous other compliance topics. Annual Maintenance in SAM.gov
Most Reps and Certs are maintained in the contractor's SAM.gov entity registration and are automatically incorporated by reference into proposals and contracts. Companies must review and update their certifications at least annually as part of the SAM.gov renewal process. Changes in company size, ownership, or compliance status must be reflected promptly.
Legal Consequences of False Certifications
Knowingly making a false certification is a federal crime under 18 U.S.C. 1001 and can result in contract termination, suspension and debarment, civil monetary penalties, and criminal prosecution. Small business size misrepresentation can result in False Claims Act liability. Companies must understand exactly what they are certifying before submitting proposals.
Certifying in Proposals
Some solicitations include additional certifications beyond the standard Reps and Certs, such as conflict of interest disclosures, organizational conflict of interest (OCI) certifications, or disclosures about covered transactions. These should be reviewed carefully and answered accurately before proposal submission.
